NAVIA MOBILITY

Version 3.3 — In force as of 28 August 2026

Translation provided for convenience. In the event of any contradiction or difference of interpretation, only the French version is authentic and binding (see Article 33).

PREAMBLE

These General Rental Terms (hereinafter the "GRT") govern any rental of bicycles and accessories offered by NAVIA MOBILITY (hereinafter the "Lessor") through its online booking site, accessible from https://www.naviamobility.fr, and, where applicable, at any partner pickup point.

They apply to any adult natural person making a booking or taking possession of equipment (hereinafter the "Renter").

The Lessor's full identification appears in the Legal Notice, and the processing of personal data is detailed in the Privacy Policy, both available on the website.

Any booking, electronic validation or taking of possession of the equipment constitutes full, complete and unreserved acceptance of these GRT, which the Renter acknowledges having read and understood beforehand.

TITLE I — DEFINITIONS AND ENFORCEABILITY

Article 1 — Purpose

The purpose of these GRT is to set out the contractual terms applicable to any rental of bicycles and accessories between the Lessor and the Renter, whether the booking is made through the online booking module, a partner marketplace or any other channel operated by the Lessor.

Article 2 — Definitions

In these GRT:

Lessor: NAVIA MOBILITY, whose contact details appear in the Legal Notice.
Renter: any adult natural person or legal entity that has made a Booking or taken possession of a Bicycle from the Lessor.
Bicycle: any electrically assisted or conventional cycle offered for rental by the Lessor, including its battery and components.
Accessories: certified helmet, lock, pannier bag, phone holder and, where applicable, child seat.
Equipment: the Bicycle and its Accessories taken as a whole.
Locker: the secure storage space in which the Equipment is kept between two rentals.
Booking: the contractual commitment formed by the electronic validation of the order.
Rental: the provision of the Equipment to the Renter, for the duration and under the conditions set out in the contract.
Package: a pricing formula of predefined duration (4h, 6h, 8h, 24h, multi-day).

Article 3 — Acceptance and enforceability

3.1 The GRT are permanently available on the Lessor's website, on a durable medium allowing their reproduction and archiving by the Renter.

3.2 The Booking implies the express, full and unreserved acceptance of these GRT, evidenced by ticking a dedicated box during the ordering process.

3.3 The Lessor reserves the right to amend these GRT at any time. The terms applicable to a given rental are those in force on the date of the Booking, a copy of which is kept by the Lessor.

Article 4 — Recognition of electronic evidence

In accordance with Articles 1366 et seq. of the French Civil Code, the Renter acknowledges the evidentiary value of:

the acceptance of these GRT by tick-box and order validation;
the photographs and videos forming the condition report;
electronic exchanges (email, WhatsApp, contact form);
the computer records and transaction logs kept by the Lessor.

These elements are binding between the parties and may be produced as evidence in the event of a dispute.

TITLE II — CONDITIONS OF ACCESS TO THE SERVICE

Article 5 — Legal capacity and minimum age

The Renter declares that they:

are at least eighteen (18) years old on the day of the Booking;
have full legal capacity to enter into a contract;
are not subject to any legal protection measure (guardianship or curatorship);
know how to ride a bicycle and are physically fit to do so under the conditions provided for.

Any Booking made by a minor or by a person lacking legal capacity is automatically void, without any refund or credit being claimable, regardless of the date of cancellation or of the start of the Rental.

Article 6 — Physical fitness and safety

The Renter undertakes to:

not use the Equipment under the influence of alcohol, drugs or medication impairing alertness, nor in a state of health incompatible with cycling;
comply with the maximum weight supported by the Bicycle (120 kg for standard bicycles, 150 kg where applicable for adapted models);
wear the helmet provided (mandatory for children under 12 pursuant to Article R.431-1-3 of the French Highway Code; strongly recommended for adults);
fully comply with the French Highway Code and any regulations applicable to cycling.

The Lessor shall in no event be held liable for the consequences of any unfitness, refusal to wear the helmet or breach of the Highway Code attributable to the Renter.

Article 7 — Identity documents and solvency check

Before handing over the Equipment, the Lessor is entitled to require:

a valid identity document (national identity card, passport or residence permit);
a valid bank card pre-authorisation;
any additional document evidencing the Renter's identity or solvency.

Failing production of these elements, the Lessor reserves the right to refuse to hand over the Equipment, without any refund of the Booking amount.

TITLE III — BOOKING, PRICING, PAYMENT

Article 8 — Booking

8.1 The Booking is made online through the Lessor's booking site, accessible from https://www.naviamobility.fr, and becomes final upon receipt of full payment or, depending on the applicable arrangements, upon validation of the bank card pre-authorisation.

8.2 A confirmation email is sent to the Renter once the Booking is completed, summarising the nature of the Equipment, the duration, the price, and these GRT.

Article 9 — Prices and Packages

9.1 Prices are expressed in euros (€), inclusive of all taxes (TTC). They are displayed on the booking platform at the time of the order.

9.2 The Rental is offered in the form of Packages of predefined duration (4h, 6h, 8h, 24h, multi-day).

9.3 Package due in full. Each Package is due in full, regardless of the actual time of use. Pricing is not proportional to the time of use: it covers the exclusive provision of the Equipment, its immobilisation, its recharging, its maintenance and the operational management of the fleet.

9.4 No refund will be granted in the event of early return, non-use or partial use of the booked duration, except in the cases expressly provided for in Articles 13 and 29.

Article 10 — Payment

Payment is made in full at the time of the Booking, by bank card through an approved secure payment provider. Card data is transmitted in encrypted form and is not stored by the Lessor.

Article 11 — Bank card pre-authorisation and acknowledgement of debt

11.1 Pre-authorisation. A bank card pre-authorisation may be taken when the Equipment is picked up, by way of security. It does not constitute an immediate payment.

11.2 Acknowledgement of debt. The Renter expressly acknowledges that the bank card pre-authorisation constitutes an acknowledgement of debt within the meaning of Article 1376 of the French Civil Code. The Lessor is entitled to capture all or part of this pre-authorisation to cover:

insurance excesses (deductibles);
the costs of repairing or replacing the Equipment;
missing, lost or damaged Accessories;
the fixed penalties defined in the Schedule;
additional hours and overrun charges;
downtime compensation;
recovery costs in the event of abandonment;
any other amount remaining due under the contract.

11.3 Prior substantiation. Any capture will give rise to a detailed supporting statement sent to the Renter.

11.4 Release. In the absence of any capture, the pre-authorisation is released within a maximum of fifteen (15) days from the complete and compliant return of the Equipment.

11.5 Indicative amounts. As an indication, the pre-authorisation may amount to €500 for a conventional bicycle (gravel, road) and €1,000 for an electrically assisted bicycle, these amounts being adjustable according to the value of the model booked.

Article 12 — No right of withdrawal

In accordance with Article L.221-28(3) of the French Consumer Code, the right of withdrawal provided for in Article L.221-18 of that Code does not apply to equipment rental contracts concluded for a service to be provided on a specific date or during a specific period.

By booking, the Renter:

expressly requests performance of the contract on the agreed date;
acknowledges being informed that they thereby waive any right of withdrawal;
accepts that the Rental cannot be refunded under that right.

Article 13 — Cancellation and modification

13.1 Notice. Any cancellation or modification request must be sent in writing (email, WhatsApp, contact form). The date and time of receipt shall be authoritative.

13.2 Refund scale.

Bookings made more than seven (7) days before the rental start date:

Cancellation more than fourteen (14) days before the rental start date: full refund (100%).
Cancellation between seven (7) and fourteen (14) days before the rental start date: 50% refund.
Cancellation less than seven (7) days before the rental start date: no refund.

Bookings made less than seven (7) days before the rental start date:

Cancellation more than forty-eight (48) hours before the start: full refund (100%).
Cancellation between eighteen (18) and forty-eight (48) hours before the start: 50% refund.
Cancellation less than eighteen (18) hours before the start: no refund.

No refund will be granted in the event of no-show or early termination of the rental.

In the event of a cancellation attributable to Navia Mobility, the Renter will be refunded in full or may opt for a postponement.

13.3 No-show. No refund will be granted in the event of the Renter's failure to appear, early termination of the Rental, or inability to use the Equipment attributable to the Renter.

13.4 Cancellation attributable to the Lessor. In the event of cancellation by the Lessor (unavailability, force majeure, safety decision), the Renter shall, at their option, receive a full refund or a postponement to a later date.

13.5 Modification by the Renter. Any modification request (date, duration, type of Equipment) is subject to availability and to the Lessor's agreement. Any upward price difference is payable; no downward differential refund is granted.

13.6 Cancellation for failure to provide documents or pre-authorisation. If the Renter refuses to present a valid identity document or a compliant means of payment, or to validate the bank card pre-authorisation at pickup, the Lessor may cancel the Rental without refund.

TITLE IV — PICKUP, USE, RETURN

Article 14 — Transfer of legal custody and pickup

14.1 Transfer of custody. From the moment the Renter takes possession of the Equipment and until its complete return under the conditions of Article 19, the Renter assumes legal and physical custody of the Equipment and its Accessories, in accordance with Articles 1242 et seq. of the French Civil Code.

14.2 Transfer of risk. All risks of loss, theft, damage, fines, immobilisation, seizure or impoundment are transferred to the Renter for the entire duration of the Rental.

14.3 Compliant receipt. The Renter takes possession of the Equipment in apparent good working order. They declare that they have had every opportunity to check the Equipment and to choose it in accordance with their needs.

14.4 Complaint period. Any complaint regarding the condition of the Equipment must be made within a maximum of fifteen (15) minutes from the start time of the Rental. After this period, the Equipment is deemed compliant and accepted without reservation.

Article 15 — Initial condition report — MANDATORY

15.1 Evidentiary mechanism. Given the autonomous, 24/7 operation of the NAVIA MOBILITY service, the photographic condition report is the primary evidentiary mechanism between the parties. The Renter expressly acknowledges that it is inseparable from the service.

15.2 Mandatory elements. Before any use, the Renter takes and submits, through the provided mechanism, legible and usable photographs which must include:

the front of the Bicycle;
the rear of the Bicycle;
the right side of the Bicycle;
the left side of the Bicycle;
the inside of the Locker in which the Bicycle was stored.

15.3 Failure to complete the condition report. If these photographs are not taken or not submitted, the Equipment is deemed to have been handed over in perfect condition, and a fixed penalty in the amount defined in the Schedule is applied.

15.4 Fraudulent photographs. Any attempt to deliberately conceal damage through partial or misleading shots, or shots deliberately masking or omitting an area of the Equipment, will be treated as fraud. In that case:

the Lessor may commission an agent to carry out an adversarial check, invoiced to the Renter at a flat rate of €50;
the penalty for failure to report an incident (Article 20) will additionally apply;
the bank card pre-authorisation may be captured up to the amount of the damage and penalties found.

Article 16 — Rental duration and overrun

16.1 Duration. The Rental is granted for a fixed term, specified at the time of Booking with a start time and a return deadline.

16.2 Lapse of coverage beyond the agreed duration. If the Renter keeps the Equipment beyond the agreed duration without having regularised their situation with the Lessor, they forfeit the benefit of all protections provided for in the contract, including insurance coverage.

16.3 Additional hours. Any return after the deadline automatically triggers the invoicing of additional hours at the rate of €10 per two (2)-hour period commenced. Any period commenced is due in full. This invoicing applies automatically, without prior formal notice.

16.4 Overrun exceeding 24 hours. If the Renter has not made contact more than twenty-four (24) hours after the return deadline, the Lessor reserves the right to:

treat the Equipment as not returned;
initiate a theft report procedure with the competent authorities;
capture the bank card pre-authorisation up to the replacement value of the Equipment;
bring any civil and criminal action to obtain the return of the Equipment and compensation for the loss suffered.

Article 17 — Renter's obligations during the Rental

The Renter undertakes to:

use the Equipment with due care, as a prudent and reasonable user, in accordance with its normal purpose;
fully comply with the French Highway Code and any applicable regulations;
systematically use the lock provided to attach the Bicycle by its frame to a fixed, solid anchor point, including during short stops;
keep the Bicycle secure in a dedicated space during evenings and nights, particularly in large cities;
report to the Lessor without delay any incident, anomaly, fall or damage affecting the Equipment;
not carry on the luggage rack a load exceeding 10 kg on a standard rack, or the indicated load for dedicated models;
keep the battery and electronic components in a suitable environment (no prolonged immersion, no exposure to extreme temperatures);
never entrust the Equipment to a third party without the Lessor's express authorisation;
never abandon the Equipment after an accident, breakdown, theft or assault, and await instructions from the assistance service (Article 24).

Article 18 — Strictly prohibited uses — Penalty clause

18.1 The Renter expressly undertakes not to engage in:

subletting, transfer whether free of charge or for consideration, or making the Equipment available to an unauthorised third party;
carrying an adult passenger (including astride the frame or on the luggage rack);
carrying a child other than in a certified child seat expressly provided by the Lessor and installed in accordance with its instructions;
taking part in any competition, race, rally, sports training or demonstration without the Lessor's written agreement;
using the Equipment for a commercial activity without the Lessor's prior written agreement (delivery, courier work, carriage of goods for others, paid instruction, paid passenger transport by bicycle);
riding the Bicycle under the influence of alcohol, drugs or medication impairing one's faculties;
using the Equipment on terrain unsuited to the rented model (beaches, stairs, unmarked trails for a city bike, extreme descents);
dismantling, modifying or altering any component of the Equipment, in particular the electronic parts (motor, battery, controller);
handing the Equipment to a third-party repairer, the Lessor alone being authorised to intervene or to authorise an intervention;
taking the Equipment outside mainland France without the Lessor's prior written agreement.

18.2 Serious breach and penalty clause. Any breach of Article 18.1 constitutes a serious breach entailing:

automatic termination of the contract, without notice or compensation;
immediate forfeiture of all insurance coverage (theft, damage, assistance);
the Renter bearing all material, bodily and financial consequences;
the application of a fixed penalty of €500 as a contractual penalty clause, without prejudice to the Lessor's right to claim higher compensation for the actual loss suffered.

Article 19 — Return and final condition report

19.1 Time. The Equipment must be returned on the date and at the time specified in the contract.

19.2 Putting back in place. The Renter undertakes to:

return the Bicycle and all Accessories to the designated Locker;
put the battery back flat in its Locker, plug it in and check that it is charging;
store the Equipment in its initial condition and configuration.

19.3 Return condition report — MANDATORY. The Renter takes and submits legible and usable photographs which must include:

the four sides of the Bicycle (front, rear, right, left);
the inside of the Locker after the Equipment has been put away.

19.4 Failure to complete the return condition report. If these photographs are not taken or not submitted, any damage found subsequently is presumed attributable to the Renter. A fixed penalty in the amount defined in the Schedule is applied, without prejudice to repair or replacement costs.

19.5 Non-compliant return. Failure to comply with the instructions for storing, reconnecting the battery or putting the Equipment back in the Locker triggers a fixed penalty in the amount defined in the Schedule.

19.6 Cleaning. Equipment returned particularly dirty will be invoiced to the Renter according to the scale in the Schedule. Where professional intervention is required (stickers, paint, heavy cosmetic repair), the actual costs will be invoiced to the Renter in full.

19.7 Damage found. All deterioration found on the Bicycle and Accessories at the time of return — or afterwards where no condition report was made — is chargeable to the Renter. For safety reasons, the Renter undertakes to report to the Lessor any impact sustained by the helmet, even without apparent damage.

Article 20 — Obligation to report any incident or damage immediately

20.1 General obligation. The Renter undertakes to report immediately to the Lessor any incident, accident, fall, scratch, impact, loss, theft, deterioration or anomaly affecting the Equipment or an Accessory, whether or not they are responsible for it, as soon as they become aware of it and at the latest upon return.

20.2 Fixed penalty. Any failure to report, discovered by the Lessor upon return of the Equipment or after the Rental, automatically triggers a fixed penalty of €120, charged against the bank card pre-authorisation, in addition to repair costs and any other related charges.

20.3 Rationale for the penalty. This penalty covers the costs generated by the omission: emergency intervention of an agent for inspection, disruption of the schedule of subsequent rentals, additional administrative handling and, where applicable, cancellation of a later booking to prevent another customer from picking up damaged Equipment.

20.4 Cumulation. This penalty is cumulative with repair costs, the insurance excess, downtime compensation (Article 27) and the other applicable penalties.

Article 21 — Accessories

21.1 A certified helmet, a lock and, depending on the model, a pannier bag and a phone holder are provided. A child seat may be made available upon booking; its installation is the sole responsibility of the Renter.

21.2 The Accessories are not covered by the insurance taken out by the Lessor in the event of loss or theft.

21.3 Any Accessory that is lost, stolen, damaged or missing is invoiced to the Renter according to the rates in the Schedule.

TITLE V — INSURANCE, INCIDENTS AND LIABILITY

Article 22 — Insurance taken out by the Lessor

22.1 For the duration of the Rental, the Renter benefits from the insurance coverage taken out by the Lessor with LAKA (Cylantro).

22.2 Main coverage (subject to compliance with these GRT):

Theft: excess of 10% of the Bicycle's value, minimum €50;
Damage: excess of 10% of the repair cost, minimum €35;
24/7 assistance: breakdown, puncture, accident, vandalism, attempted theft, lock malfunction, flat battery.

Article 23 — Excesses, exclusions and forfeiture of coverage

23.1 The insurance coverage only applies subject to full compliance with these GRT, in particular the obligations relating to:

use of the lock (Article 17);
compliant riding and compliance with the Highway Code (Article 6);
absence of prohibited use (Article 18);
immediate reporting of the incident (Article 20);
filing of a police report in the event of theft (Article 25);
compliance with the Rental duration (Article 16).

23.2 Forfeiture. In the event of a breach of any of these obligations, the insurance coverage becomes inoperative. The Renter then bears in full:

the cost of repairs;
the replacement value in the event of theft, loss or destruction;
damage caused to third parties;
related costs (expert assessment, administration, assistance).

23.3 Excess = amount of the pre-authorisation. The applicable excess is at most equal to the amount of the bank card pre-authorisation; if the insurer declines cover, the Renter is liable up to the replacement value of the Equipment as assessed by an expert.

Article 24 — 24/7 assistance

24.1 Assistance is included 24 hours a day, 7 days a week, for the cases listed in Article 22.2.

24.2 Identification. The Renter provides the operator with the Bicycle's marking number, legible on the frame.

24.3 Services. Depending on the nature of the incident, the assistance service may cover:

towing of the Bicycle within a radius of thirty (30) kilometres;
transport of the Renter by taxi within a radius of one hundred (100) kilometres.

24.4 Territorial limitation. Assistance cannot be provided within one (1) kilometre of the Renter's home.

24.5 No unilateral action. No initiative (repair, personal towing, third-party assistance) may be taken by the Renter without the Lessor's prior agreement, except in the event of serious and imminent danger. Any unauthorised intervention may result in the costs not being covered by the insurance.

24.6 Contacts.

Assistance: +33 5 49 16 36 39
Incident report: https://cylantro.eu/sinistre

Article 25 — Theft, loss or total destruction

25.1 Renter's obligations. In the event of theft, loss or total destruction of the Equipment, the Renter undertakes to:

contact the Lessor immediately;
file a police report without delay with the competent authorities;
send the Lessor the police report receipt within forty-eight (48) hours;
hand over to the Lessor any identification element of the Equipment still in their possession;
compensate the Lessor up to the replacement value of the Equipment, less any amounts paid by the insurer.

25.2 Loss of coverage. If no police report is filed within the time limit, or in the event of non-compliance with the lock obligations (Article 17), the theft coverage becomes inoperative and the full value of the Equipment is chargeable to the Renter.

25.3 Prohibition on abandonment. The Renter undertakes never to abandon the Equipment on the public highway or in any other place, including after an accident, breakdown, theft or assault, except in cases of force majeure or serious and imminent danger to their safety.

25.4 Recovery costs. Any unjustified abandonment results in the invoicing of the actual costs of recovering the Equipment (travel, labour, transport), as well as the fixed penalty for failure to report (Article 20) and, where applicable, the penalty clause of Article 18.

Article 26 — Renter's civil liability

26.1 The Renter is solely responsible for any use they make of the Equipment and for any bodily injury or material damage they may cause to themselves, to third parties or to the Equipment.

26.2 Mandatory personal insurance. The Renter declares that they hold civil liability insurance covering damage caused to third parties while cycling, both by themselves and by persons in their care. They certify holding a valid policy on the day of the Rental.

26.3 Exclusion of the Lessor's liability. The Renter releases the Lessor from any liability arising from the use of the Equipment, in particular as regards the bodily, material and consequential effects of accidents of any kind, and non-compliance with the Highway Code.

26.4 Hidden defects — Reservation. The Renter cannot be held responsible for the harmful consequences of hidden defects of the Equipment or of non-apparent wear making it unfit for use, where evidence thereof is provided.

26.5 Indirect losses. The Lessor shall in no event be liable for indirect losses suffered by the Renter (loss of income, trip cancellation, missed appointment, etc.).

Article 27 — Downtime compensation

27.1 Principle. If the Equipment is immobilised due to the Renter (unreported damage, non-compliant return requiring intervention, repair affecting the schedule), the Renter shall owe downtime compensation equal to the public daily rate (incl. VAT) of the Equipment concerned, multiplied by the number of days of unavailability, and no less than €60 per day.

27.2 Cumulation. This compensation is cumulative with repair costs, insurance excesses and the applicable fixed penalties.

Article 28 — Breakdown

28.1 Maintenance and mechanical failures. The Lessor is responsible for maintaining the Equipment. Mechanical and electronic failures resulting from normal wear or lack of maintenance are its responsibility.

28.2 Breakdown caused by the Renter. If the Lessor considers that the breakdown results from use contrary to these GRT, it may appoint an independent expert to certify this. If the Renter is found responsible, they shall bear all repair costs and the expert's fees.

28.3 Punctures and minor repairs. Minor routine repairs (puncture, adjustment) are the Renter's responsibility. Beyond these cases, the Renter is strictly prohibited from working on the Equipment or entrusting it to a third party. Any unauthorised intervention engages the Renter's full liability.

28.4 Termination of the Rental for a breakdown not attributable to the Renter. In the event of a breakdown not linked to use contrary to the contract, the Renter may terminate the Rental and be refunded pro rata for the unused time.

Article 29 — Force majeure

29.1 Neither party may be held liable for non-performance or delay due to force majeure within the meaning of Article 1218 of the French Civil Code (including: exceptional weather making riding dangerous, blocked public roads, administrative decision, pandemic, natural disaster, terrorist attack, general strike).

29.2 In the event of persistent force majeure making it impossible to continue the Rental, the contract may be suspended or terminated, with a pro-rata refund for the portion not performed.

TITLE VI — FINAL PROVISIONS

Article 30 — Complaints and consumer mediation

30.1 Prior complaint. Any complaint must first be sent in writing to the Lessor at the email address reclamations@naviamobility.fr, to allow direct amicable resolution.

30.2 Consumer mediator. In accordance with Article L.612-1 of the French Consumer Code, if no amicable resolution is reached within two (2) months, the consumer Renter may make free use of the consumer mediator to which the Lessor belongs:

Website: https://www.cm2c.net

30.3 European dispute resolution platform. The Renter may also refer the matter to the European online dispute resolution platform or its French contact point: CEC France — odr-france@cec-zev.eu, which will assist them in their steps or redirect them to the competent body.

the court of the place where the harmful event occurred;
the court of the place where the defendant resides.

31.3 Professional Renter. For professional Renters and legal entities, exclusive jurisdiction is granted to the courts of Marseille, notwithstanding multiple defendants or third-party claims.

Article 32 — Address for service and notices

32.1 For the performance of this contract and its consequences, the parties elect domicile at their respective addresses provided at the time of the Booking.

32.2 Any communication sent by email to the address declared by the Renter is deemed received and produces all its legal effects.

Article 33 — Language of the contract

These GRT are drawn up in French. Should they be translated into one or more other languages for convenience, only the French version shall be authentic and binding in the event of any contradiction, difference of interpretation or dispute relating to their performance.

Article 34 — Miscellaneous

34.1 Partial invalidity. The possible invalidity of one provision of these GRT does not affect the validity of the other provisions, which remain fully applicable.

34.2 No waiver. The Lessor's failure to invoke a breach by the Renter shall not be construed as a waiver of the right to invoke it later.

34.3 Entire agreement. These GRT, supplemented by the Booking confirmation, constitute the entire agreement between the parties and prevail over any prior communication, offer or document.
